Press releases and material change reports
Woodfine plans to disclose material changes in real time, through press releases and material change reports. No release has been issued to date. The standard below is the one Woodfine intends to apply once the channel opens.
Material change disclosure protocol
A material change triggers a two-step sequence: a press release immediately upon determination, then a Form 51-102F3 material change report on SEDAR+ within ten calendar days. Material change reporting sets out the definition, the content requirements, the confidential-filing exception, and the Part 7 filing mechanics in full.
Whether a given development is released is a judgment made case by case. Earnings releases and updates to forward-looking guidance would be assessed individually, and Woodfine would release a significant deviation from previously disclosed guidance rather than hold it to the next scheduled filing.
Forward-looking statements
Any release containing forward-looking information would carry a cautionary statement identifying the material assumptions behind it and the known risk factors that could cause actual results to differ. Woodfine would distinguish forward-looking statements from statements of current fact in the release itself, rather than in a general disclaimer appended to it.
