Woodfine Corporate
Woodfine Capital Projects Inc. ("Woodfine") is the promoter and developer of a portfolio of direct-hold solutions — operating structures that bypass layered investment funds to provide perpetual equity ownership of commercial real estate through freely transferable investment units. Each solution is governed by its own jurisdiction- specific governing body; in Canada, the General Partner is Woodfine Professional Centres Inc., a Woodfine subsidiary. The established Canada solution is structured as a regulated reporting entity, with the British Columbia Securities Commission (BCSC) as its principal regulator, and mandatory disclosures under NI 51-102 and CSA National Policy 51-201; further planned solutions are intended to be structured the same way once established.
The direct-hold model is built on four structural principles: full beneficial ownership of underlying assets, elimination of fund-level redemption mechanics, perpetual equity with no asset-sale-required-for-exit constraint, and alignment of interest through escrowed promoter equity — held through a special-purpose Woodfine subsidiary and remaining in escrow until limited partners recover 100% of contributed capital or a defined liquidity event occurs.
