Mandato del Comité de Auditoría

El Instrumento Nacional 52-110 Comités de Auditoría establece los requisitos obligatorios para los comités de auditoría de los emisores que cotizan. El comité de auditoría es un comité permanente del consejo de administración responsable de supervisar la integridad de la información financiera, la independencia del auditor externo y la adecuación de los controles internos.

Composición e independencia

NI 52-110 requiere que el comité de auditoría esté compuesto íntegramente por directores independientes. Un director es independiente si no tiene una relación material directa o indirecta con el emisor que pudiera interferir razonablemente con el ejercicio de su juicio independiente.

Todos los miembros del comité de auditoría también deben ser financieramente alfabetizados — capaces de leer y comprender estados financieros que presenten una amplitud y nivel de complejidad de cuestiones contables comparables a los del emisor. Al menos un miembro debe tener experiencia contable o financiera relacionada.

Responsabilidades principales

Supervisión de estados financieros. El comité revisa los estados financieros anuales e interinos antes de que sean aprobados por el consejo y presentados en SEDAR+.

Supervisión del auditor externo. El comité es directamente responsable del nombramiento, la compensación y la supervisión del auditor externo, incluyendo la revisión de su independencia y la preaprobación de todos los servicios de auditoría y no auditoría permitidos.

Controles internos. El comité supervisa los procesos de la administración para mantener controles internos adecuados sobre la información financiera.

Procedimientos para denunciantes. El comité debe establecer procedimientos para la recepción, retención y tratamiento de quejas relacionadas con contabilidad, controles contables internos o asuntos de auditoría.
