About Risks

Risk disclosure is organized in this wiki around five categories, each held in a dedicated article: market and property risk, financing and interest rate risk, development and construction risk, structure and regulatory risk, and risk specific to the offering mechanism itself. The organizing principle is that a risk factor belongs with the part of the business it affects — a lender relationship, a construction schedule, a jurisdiction's legal regime, or the mechanics of the investment unit itself — rather than in a single undifferentiated list.

Why risks are organized this way

A single, unstructured list of risk factors makes it difficult for a reader to judge which risks are relevant to a specific decision. An investor evaluating the Narrow Banking Model needs to understand financing risk in detail; a counterparty assessing a specific jurisdiction needs the structural and regulatory picture for that jurisdiction; a reader evaluating whether to hold Perpetual Equity units needs to understand the offering mechanism itself. Grouping risk factors by the part of the business they affect lets each reader find the relevant material without wading through the full set.

The five categories are:

  • Market and property risk — vacancy, rent levels, property values, tenant concentration, and general economic conditions affecting commercial real estate.
  • Financing and interest rate risk — availability of financing on favorable terms and exposure to interest rate movement on debt incurred after a building stabilizes.
  • Development and construction risk — cost overruns, delays, contractor performance, and zoning and permitting risk during ground-up construction.
  • Structure and regulatory risk — the consequences of operating across multiple jurisdictions under distinct legal and tax regimes, and the risk that any of those regimes changes.
  • Offering risk — risk arising from the mechanics of the investment unit itself, including illiquidity and concentration.

Disclosure posture

Every article in this category states what could go wrong. None of them state or imply what will happen, what an investor should expect to earn, or that a described structural feature eliminates the risk it is paired with.
