This knowledge base is organized around the questions people actually ask
about a company. No financial background is needed; every section is
written in plain language, and every technical term links to the glossary.

## The story

1. **The Company** — who Woodfine is: a British Columbia holding company
   that develops and promotes commercial buildings. It is a developer,
   not an asset manager. Its history, its people, and how the business
   operates.
2. **The Investment Vehicles** — the vehicles, present and planned: the
   parent company's common shares, and the four Direct-Hold Solutions
   planned for Canada, the United States, Spain, and Mexico. What each
   vehicle is, its legal form, and the eligibility rules that apply in
   each investor's home jurisdiction. Where an offering is planned
   rather than open, the articles say so plainly.
3. **The Financial Model** — the financial engine. Under the Narrow
   Banking Model, buildings are intended to be built with zero
   construction debt, using subscription capital; borrowing is planned
   to come only after buildings are leased and earning. The fees
   Woodfine charges, what it earns, and why its own stake is designed to
   stay in escrow until investors' capital has been returned.
4. **Distributions and Transfers** — the distribution policy and
   the transfer mechanism. Distributions are targeted to be paid from
   Distributable Income, when and if they are declared — they are not
   guaranteed. Perpetual Equity is the mechanism intended to allow
   unitholders to offer their units for sale at a time of their
   choosing: there is no forced exit and no redemption window by design,
   but the mechanism is not a promise of a buyer or a price.
5. **Governance and Legal** — who is in charge and what protects
   investors: the board and its independent directors, the committees,
   compensation, the rules written into every vehicle's governing
   documents, and the legal record — contracts, proceedings, and
   investors' statutory rights.
6. **Risks** — what could go wrong, stated plainly and kept in one place.

## The paper trail

Each reporting company has its own Reports section, and every section
follows the same layout: annual financial statements, quarterly financial
statements, management's discussion, regulatory filings, valuations and
appraisals, and distribution records. Learn one and you have learned
them all.

## Research and reference

**Research** holds the flagship research papers — complete, long-form
arguments with full citations, published as a small curated set.

**Glossary and Reader's Guide** defines every term used here in plain
words, and explains the cautionary notes that accompany forward-looking
statements and non-standard financial measures. Start there if any term
is unfamiliar — and read the forward-looking-statements advisory before
relying on any statement about plans, targets, or intended
distributions; the Reports and Distributions sections point to it
throughout.

## The other half of the story

Every article is published in English and Spanish. The buildings
themselves — what is built, how it is designed, how sites
are chosen, the markets, and where building is planned next — live in
the companion **projects** knowledge base. This knowledge base explains
the company and the money; that one explains the buildings and the
places. Together they tell the whole story.
