This article is the canonical definition of how forward-looking language is used across the
corporate wiki. Individual articles that contain forward-looking statements refer back to this
article rather than repeating the full advisory each time. It is written consistent with the
guidance under National Instrument 51-102 *Continuous Disclosure Obligations* and OSC Staff
Notice 51-721 *Forward-Looking Information Disclosure*.

## What a forward-looking statement is

A forward-looking statement is any statement that describes a future plan, intention,
expectation, or target, rather than a fact that is true as of the date of the statement.
Forward-looking statements appear throughout this wiki wherever a described structure, vehicle,
or process has not yet been established, has not yet occurred, or depends on conditions that
have not yet been satisfied — for example, the formation of the planned Direct-Hold Solutions
in the United States, Spain, and Mexico, described in [[four-jurisdiction-framework|Four-Jurisdiction Framework]].
A statement of present fact — that the Professional Centres Canada LP exists and files
continuous disclosure on SEDAR+, for example — is not a forward-looking statement, and this
advisory does not qualify statements of that kind.

## The signal words used in this wiki

Forward-looking statements in this wiki are marked using a consistent set of signal words:

**"Planned"** — describes a structure, vehicle, or process that the company intends to
establish but that does not yet exist in the form described. A planned Direct-Hold Solution is
one that has not yet been formed.

**"Intended"** — describes a purpose, effect, or outcome that a described structure is designed
to achieve, without asserting that the outcome is certain or guaranteed. A mechanism described
as "intended to allow" a certain result is a statement of design purpose, not a promise of
performance.

**"May"** — describes a possible future action, outcome, or circumstance that is not certain to
occur. Use of "may" signals genuine uncertainty about whether the described event will occur.

**"Target"** — describes a goal the company is working toward, most often in connection with a
gross funded value, a deployment timeline, or an operating metric. A target is not a forecast
of actual results and is not a commitment that the stated figure will be achieved.

## Why actual results may differ materially

Forward-looking statements are, by definition, based on assumptions and expectations current as
of the date they are made. Actual outcomes may differ materially from what is described,
because of factors including — without limitation — the risks described in the
[[about-risks|Risks]] category of this wiki: market and property conditions, financing availability,
construction cost and schedule, regulatory change, and the mechanics of the offering itself.
Woodfine Capital Projects Inc. does not undertake any obligation to update a forward-looking
statement to reflect new information or subsequent events, except as required by applicable
securities law.

## Relationship to formal disclosure documents

This advisory applies to forward-looking language used in this wiki. It does not replace or
modify the forward-looking statement advisory contained in any prospectus, offering memorandum,
or annual information form filed with the applicable securities regulator; where a formal
disclosure document contains its own forward-looking statement advisory, that document's
advisory governs the statements it contains.
